3. Automated SMS/email follow-up
4. Reputation-optimization workflows We host, maintain, and support these systems according to the plan you select.---##
5. Account Registration & Security
- You agree to provide accurate, up-to-date information when registering.
- You are responsible for safeguarding your password and any API keys.
- You must notify us immediately if you suspect unauthorized use of your account.---##
6. Fees & Payment
- **Setup Fee:** A one-time, non-refundable fee due upon onboarding.
- **Subscription Fees:** Recurring monthly charges based on your plan.
- Payments are processed via credit card or ACH. You authorize us to charge your payment method on file on the due date.
- Late payments incur a 1.5% monthly late fee. We may suspend or terminate service for overdue accounts.---##
7. Client Data & Ownership
- You retain ownership of all data you submit to the Service (“Client Data”).
- We use Client Data solely to provide and improve the Service.
- Upon termination, we will delete or return your data per our Privacy Policy.---##
8. License & Restrictions
- We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
- You may not:
- Reverse-engineer, decompile, or otherwise attempt to derive source code.
- Use the Service to infringe third-party rights or violate any laws.
- Resell the Service without our written permission.---##
9. Third-Party Integrations
The Service may integrate with third-party platforms (e.g. GoHighLevel, Synthflow, Twilio). You agree to abide by their terms and grant us permission to share Data and interact on your behalf.---##
10. Disclaimers & Limitation of Liability
- **No Guarantee of Results.** While many clients achieve high ROI, we do not guarantee any specific outcome.
- **“As-Is” Service.** The Site and Service are provided “as is” without warranties of merchantability or fitness for a particular purpose.
- **Limitation of Liability.** Our total liability under these Terms shall not exceed the amounts you paid us in the three months preceding any claim. We are not liable for indirect, incidental, or consequential damages.---##
11. Indemnification
You agree to indemnify and hold harmless Firstray AI and its officers, directors, employees, and agents from any claim, demand, loss, or damage (including attorneys’ fees) arising out of:
- Your violation of these Terms.

12. Termination
- **By You:** You may cancel your subscription at any time via your account dashboard; termination is effective at the end of your current billing cycle.
- **By Us:** We may suspend or terminate your access for breach of these Terms or non-payment; we will use reasonable notice where practicable.
- Sections 4, 6, 7, 8, 10, 11, and 13–16 survive termination.---##
13. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or related to them are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute, claim, or controversy arising under these Terms shall be resolved by binding arbitration in Miami-Dade County, Florida, under the JAMS rules then in effect, except that either party may seek injunctive or other equitable relief in any state or federal court located in the State of Florida.---##
14. Severability & Waiver
If any provision is held unenforceable, the remainder of these Terms remain in full force. Our failure to enforce any right is not a waiver of that right.---##
15. Entire Agreement
These Terms, together with the Privacy Policy and any Order Form or Statement of Work, constitute the entire agreement between you and Firstray AI regarding the Service.---##
